Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Praxivara, our websites, and related services (collectively, the "Service"), provided by Praxivara ("Praxivara", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Eligibility (18+)

You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you are 18 years of age or older.

The Service is not intended for anyone under 18, and we do not knowingly collect information from individuals under 18. If we learn that an account belongs to someone under 18, we may suspend or terminate it and delete the associated data.

The service

Praxivara is an AI business assistant that can understand your requests and take actions across the third-party tools you choose to connect. You are responsible for the actions you authorize and for reviewing outputs before relying on them.

AI can make mistakes. Outputs may be inaccurate, incomplete, or unsuitable for your purpose. You should independently verify important information and outcomes, especially for financial, legal, medical, tax, or contractual matters. The Service does not provide professional advice.

AI providers and outputs

To deliver AI features, the Service sends the content needed to fulfill your request to third-party AI providers that process it on our behalf. These providers may include Anthropic, OpenAI, Google Cloud / Google Gemini, and Twilio messaging services, and may change over time. We send only what is necessary to complete the requested task. Subject to applicable law and the terms of the underlying providers, as between you and Praxivara, you own the inputs you submit and the outputs generated for you. You are responsible for ensuring your inputs and your use of outputs comply with the law and any third-party rights. Given the nature of AI, outputs may not be unique and similar outputs may be generated for other users.

Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. We strongly recommend enabling two-factor authentication. Notify us promptly of any unauthorized use of your account.

Billing, trials, and credits

Paid plans are billed in advance on a monthly or yearly basis through our payment processor, Stripe. Where free trials are offered, they may require a valid payment method, and you will not be charged until the trial ends unless you cancel beforehand.

Plans may include usage allowances or credits. Usage beyond your plan's allowance may be limited or may incur additional charges as described at purchase. You authorize us to charge your payment method for all applicable fees, including recurring charges, until you cancel.

You may cancel at any time. Cancellation takes effect at the end of your current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable. If a payment fails, we may suspend or limit access until the balance is resolved.

We may change our prices or plans. We will provide notice of price changes, which take effect on your next billing cycle.

SMS / Text Messaging

If you opt in to text messaging, the following terms apply to the Praxivara SMS program. By opting in, you agree to receive the messages described below at the mobile number you provide.

• Program name — Praxivara SMS notifications.
• Program description — Praxivara sends recurring automated text messages to users who opt in — including login codes, account and security alerts, agent activity notifications, reminders, and conversational replies.
• Message frequency — message frequency varies by account activity.
• Cost — message and data rates may apply.
• STOP — reply STOP to cancel at any time.
• HELP — reply HELP for help, or contact [email protected].

Carriers are not liable for delayed or undelivered messages.

Consent to receive texts is not a condition of any purchase.

Acceptable use

You agree not to use the Service to:

• violate any law or regulation, or infringe the intellectual property, privacy, or other rights of others;
• send spam or unsolicited communications, or engage in fraud, phishing, or deceptive practices;
• generate or distribute unlawful, harmful, harassing, or abusive content, or content that exploits or endangers minors;
• attempt to reverse engineer, decompile, disrupt, overload, or gain unauthorized access to the Service or its systems;
• circumvent usage limits, security measures, or the terms of any third-party service you connect; or
• use the Service to build a competing product or to train a competing AI model.

You must also comply with the terms and acceptable-use policies of any AI provider or third-party service involved in fulfilling your request. We may suspend or terminate access for violations.

Third-party services and integrations

The Service lets you connect third-party tools and relies on third-party AI and infrastructure providers. These services are provided by third parties and governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services, and your use of them is at your own risk.

When you connect an integration, you authorize us to access and act on the data in that tool on your behalf, limited to the scopes you grant. You may disconnect an integration at any time.

Your content and license

You retain ownership of your content and the data in your connected accounts. You grant us a limited, non-exclusive license to host, process, transmit, and display your content solely as necessary to operate and provide the Service to you, including sending content to AI and infrastructure providers as described in our Privacy Policy.

Our intellectual property

We retain all rights, title, and interest in and to the Praxivara platform, including its software, design, and trademarks. Except for the rights expressly granted to you, these Terms do not transfer any of our intellectual property to you.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free. You assume all responsibility for verifying and using AI outputs.

Limitation of liability

To the maximum extent permitted by law, Praxivara and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Praxivara and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your use of connected third-party services, or your violation of these Terms or applicable law.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for violations of these Terms, to comply with law, or to protect the Service and its users. Upon termination, your right to use the Service ends, and we may delete your data subject to our Privacy Policy and applicable law. Provisions that by their nature should survive termination will survive.

Governing law and disputes

These Terms are governed by applicable law without regard to conflict-of-law principles. You agree to first attempt to resolve any dispute with us informally by contacting us. If a dispute cannot be resolved informally, it will be handled in accordance with applicable law in the courts of competent jurisdiction.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email. The "Last updated" date above reflects the most recent revision. Continued use after changes take effect constitutes acceptance.
