Affiliate Program Terms

About the program

The Praxivara Affiliate Program (the "Program") lets you earn commissions for referring new customers to Praxivara. These Affiliate Program Terms (the "Affiliate Terms") govern your participation and are in addition to our Terms of Service and Privacy Policy, which are incorporated by reference. By enrolling in or participating in the Program, you agree to these Affiliate Terms.

The Program is operated by Praxivara. Referral tracking, commission calculation, and payouts are powered by our partner platform, Dub, which processes program data on our behalf. Where these Affiliate Terms conflict with our general Terms of Service on a Program-specific matter, these Affiliate Terms control.

Eligibility and enrollment

To participate, you must be at least 18 years old and have a Praxivara account in good standing. You enroll by opening the Refer & Earn page in your account, which generates your unique referral link on refer.praxivara.com. You may create additional links to specific pages from that page.

You are responsible for the accuracy of your account information and for connecting a valid payout method. You may participate only on your own behalf; you may not enroll on behalf of another person without authorization.

Commissions

When a new customer subscribes to a paid Praxivara plan (Plus, Pro, Premium, or Elite) through your referral link, you earn a commission equal to 15% of that plan's subscription price. Commissions recur for up to six months from the customer's first payment, after which the referral no longer earns.

Commission is calculated on the base subscription price only. The following are not commissionable:

• taxes, duties, or other government charges;
• one-time purchases and add-on packs, such as additional credits or storage;
• free plans, and trials that never convert to a paid subscription; and
• self-referrals, or subscriptions on accounts you own or control.

Dub calculates each commission and enforces the six-month recurrence limit. Commission rates and structure are those in effect at the time a sale is tracked.

Referral tracking and attribution

Attribution is determined on a last-click basis: your referral link must be the last Program referral link the customer clicked before creating their account. A referral qualifies when the customer clicks your link and subscribes to a paid plan within 90 days of that click.

If a customer clicks more than one partner's link, the most recent qualifying link before signup receives credit. Tracking relies on cookies and similar technologies, and may be affected by a customer's browser settings, privacy tools, or device. Praxivara and Dub determine attribution in good faith, and those determinations are final.

Holding period and payouts

Earned commissions are subject to a 30-day holding period before they become payable, to account for refunds, cancellations, and chargebacks. After the holding period, a commission becomes eligible for payout once your available balance reaches the $10 minimum payout amount.

Payouts are issued through the partner platform to the payout method you connect; you are responsible for any taxes on amounts you receive. Commissions tied to sales that are later refunded, canceled, or charged back are reversed, and any resulting negative balance may be offset against future commissions.

Prohibited conduct

To keep the Program fair, you agree that you will not:

• refer yourself, or subscribe through your own link, or refer accounts you own or control;
• use spam, unsolicited bulk messaging, or misleading, deceptive, or false claims to promote your link;
• bid on Praxivara trademarks or brand terms in paid search, or use domains, ads, or accounts that impersonate or could be confused with Praxivara;
• offer unauthorized cash rebates or other incentives that violate applicable law or these Affiliate Terms;
• engage in fraud, fake or duplicate accounts, cookie stuffing, or any manipulation of referral tracking; or
• misrepresent Praxivara's products, pricing, or your relationship with Praxivara.

We may withhold or reverse commissions, and suspend or remove you from the Program, for any violation of this section or these Affiliate Terms.

Relationship of the parties

You participate in the Program as an independent party. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint-venture relationship between you and Praxivara. You have no authority to make any representation, warranty, or commitment on Praxivara's behalf, and you are solely responsible for your promotional activities and for complying with all applicable laws, including advertising, marketing, and disclosure rules.

Changes and termination

We may modify or discontinue the Program, adjust commission rates, or update these Affiliate Terms at any time. Changes apply prospectively to sales tracked after the change takes effect. Either you or Praxivara may end your participation at any time, for any reason.

On termination, commissions that are already earned and past the holding period will be paid, subject to these Affiliate Terms and to reversal for refunds, chargebacks, fraud, or violations. Provisions that by their nature should survive termination will survive.

Disclaimers and limitation of liability

The Program is provided "as is" and "as available," without warranties of any kind. To the maximum extent permitted by law, Praxivara will not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program, and our total liability for any claim relating to the Program will not exceed the total commissions properly earned by and payable to you in the six months preceding the event giving rise to the claim.
